These Terms and Conditions (“Terms”) constitute a legally binding agreement between Pinnacle Global Network (“PGN,” “we,” “our,” or “us”) and the legal entity identified in the service agreement, application, or purchase order (“Client,” “you,” or “your”).

By accessing our websites, enrolling in our programs, or purchasing services, the individual acting on behalf of the Client represents that they have the legal authority to bind the Client to these Terms. If the Client does not agree to these Terms, it must immediately cease all use of PGN services.

1. Business-to-Business (B2B) Representation

The Client acknowledges and agrees that the services provided by PGN are intended solely for business purposes and professional development. The Client represents that it is a legal business entity and not an individual consumer. Consequently, the Client acknowledges that statutory consumer protection laws—including the 14-day “Right of Withdrawal” or “cooling-off” periods typically afforded to individuals in the European Union or United Kingdom—do not apply to this commercial agreement.

2. Scope of Services

PGN provides business mentoring, peer-to-peer support, and educational resources. While PGN provides high-level strategic guidance, the Client remains solely responsible for the implementation of any strategies. Success depends on various factors, including the Client’s execution, market conditions, and external variables. PGN does not guarantee specific financial, business, or operational results.

3. No Professional Advice

PGN is not a law firm, accounting firm, or financial advisory. All content, materials, and mentoring sessions are provided for educational and informational purposes only. The Client should consult with its own legal, financial, or tax professionals before making significant business decisions.

4. Fees, Payments, and Taxation

  • Payment Obligations: The Client agrees to pay all fees as specified at the time of purchase or as outlined in a signed Order Form.
  • Taxes and VAT: For Clients located in the European Union (EU) or United Kingdom (UK), prices may be subject to Value Added Tax (VAT). PGN will apply VAT or other applicable sales taxes based on the Client’s location and tax status. The Client is responsible for providing a valid VAT registration number where applicable.
  • Late Payments: PGN reserves the right to suspend access to services or community platforms if any payment is more than 30 days overdue.

5. Refund and Cancellation Policy

Due to the nature of digital content delivery and the immediate allocation of mentoring resources, all fees paid to PGN are non-refundable, unless otherwise specified in a signed written agreement. The Client is committed to the full term of the membership or program upon enrollment.

6. Intellectual Property Rights

  • PGN Ownership: All PGN materials including but not limited to proprietary frameworks, worksheets, videos, audio, trademarks, and logos are the exclusive property of PGN or its licensors.
  • Limited License: The Client is granted a non-exclusive, non-transferable, revocable license to use PGN materials solely for its internal business development.
  • Prohibitions: The Client shall not copy, redistribute, sell, or create derivative works from PGN materials. Sharing login credentials or program materials with individuals outside of the Client’s organization is strictly prohibited and may result in immediate termination of service without refund.

7. Confidentiality and Community Standards

  • Confidentiality: During PGN programs, the Client may gain access to confidential business information of PGN or other members. The Client agrees to maintain strict confidentiality and not disclose such information to any third party.
  • Community Conduct: The Client’s representatives must engage respectfully within PGN forums and live events. Harassment, solicitation of other members, or conduct that undermines the integrity of the PGN community is grounds for immediate removal.

8. Limitation of Liability

To the maximum extent permitted by law:

  • PGN shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or business interruption.
  • PGN’s total aggregate liability for any claim arising out of or related to these Terms shall not exceed the total amount actually paid by the Client to PGN during the twelve (12) months immediately preceding the event giving rise to the claim.
  • Note for EU/UK Clients: Nothing in these Terms excludes liability for gross negligence, willful misconduct, or any other liability that cannot be excluded by law in your jurisdiction.

9. Indemnificaion

The Client agrees to indemnify, defend, and hold harmless PGN and its officers, mentors, and employees from any and all third-party claims, losses, or expenses (including reasonable legal fees) arising from the Client’s breach of these Terms, misuse of PGN materials, or violation of any third-party rights.

10. Termination

PGN reserves the right to terminate the Client’s access to services immediately and without refund if the Client:

  1. Breaches these Terms or PGN’s Privacy Policy.
  2. Fails to make timely payments.
  3. Engages in conduct that PGN deems harmful to its brand or community.

11. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict of law principles.
  • Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in San Diego, California.
  • Online Dispute Resolution (EU Only): For Clients in the EU, the European Commission provides an online dispute resolution platform, which can be accessed at https://ec.europa.eu/consumers/odr.

12. Entire Agreement

These Terms, along with the Privacy Policy and any specific PGN Service Agreement, constitute the entire agreement between the parties and supersede all prior understandings or representations.
